Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using nudgg (the "Service"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User") and DeltaIQx LLP, a limited liability partnership registered in India ("DeltaIQx", "we", "us", or "our"). By using nudgg, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

nudgg is a behavioral analytics tool for traders. The Service observes trading activity via a browser extension, detects behavioral patterns, and delivers personalized insights to help traders understand their own decision-making habits.

nudgg expressly does not:

• Execute, place, or modify trades on your behalf.
• Provide investment advice, financial advice, or trading recommendations.
• Manage, custody, or hold any funds, securities, or financial instruments.
• Act as a stockbroker, investment advisor, portfolio manager, or any SEBI-registered intermediary.
• Guarantee profits or protection from losses.

The Service is currently in beta. Features, functionality, pricing, and data availability may change. We may reset, modify, or discontinue features without prior notice during the beta period.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age.
• Have a valid email address.
• Not be barred from using the Service under applicable law.
• Agree to these Terms and our Privacy Policy.

The Service is intended for users in India. If you access nudgg from outside India, you are responsible for compliance with applicable local laws.

nudgg is a behavioral observation tool only. Nothing in the Service constitutes investment advice, a trading recommendation, or a solicitation to buy or sell any financial instrument. DeltaIQx LLP is not a SEBI-registered investment adviser, research analyst, or stockbroker. You are solely responsible for all trading decisions.

6. Browser Extension

The nudgg browser extension silently observes trading activity on supported broker platforms. By installing and activating the extension, you acknowledge and agree that:

• The extension intercepts network requests to broker websites solely to capture your own trade data.
• All data captured is encrypted on your device before transmission. We receive only encrypted ciphertext.
• The extension does not execute trades, submit orders, or interact with broker systems in any active capacity.
• You are responsible for ensuring that your use of the extension complies with the terms of service of the broker platforms you use.
• We are not responsible for changes to broker website structure that may affect extension functionality.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Attempt to gain unauthorized access to any system, database, or account.
• Use the Service to process or store data belonging to other users without their consent.
• Circumvent, disable, or interfere with any security feature of the Service.
• Transmit malware, viruses, or other harmful code.
• Misrepresent your identity or affiliation.
• Use automated means (bots, scrapers) to access the Service without our written permission.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these provisions.

8. Intellectual Property

8.1 Our property. The Service, including all software, algorithms, ML models, UI/UX, content, trademarks, and the "nudgg" name and logo, are the exclusive intellectual property of DeltaIQx LLP. Nothing in these Terms grants you any right to use our intellectual property without our prior written consent.

8.2 Your data. You retain full ownership of your trade data. You grant us a limited, non-exclusive, non-transferable licence to process your data solely for the purpose of providing the Service to you. We do not claim ownership of your trade data.

8.3 Feedback. If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free, worldwide licence to use such feedback without compensation or attribution to you.

9. Subscription and Payment

9.1 Free tier. nudgg is currently available for free during the beta period. We may introduce paid tiers in the future with advance notice.

9.2 Paid subscriptions. When paid plans are introduced, fees will be charged in Indian Rupees (INR) and processed via a third-party payment gateway. All fees are exclusive of applicable taxes (GST). You authorize us to charge the applicable fees to your designated payment method.

9.3 Refunds. Refund eligibility will be governed by our Refund Policy, which will be published before any paid plan is activated. Please review the Refund Policy before subscribing.

9.4 Price changes. We reserve the right to change pricing. You will be notified at least 30 days in advance of any price change to your active subscription.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, TITLE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times.
• Any insights, patterns, or recommendations will be accurate or suitable for your trading needs.
• The Service will detect all behavioral patterns or prevent trading losses.
• Data will never be lost (see Section 4.2 on password responsibility).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DELTAIXQ LLP, ITS DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR:

• Any trading losses, financial losses, or loss of profits arising from your use of or reliance on the Service.
• Loss of data due to forgotten passwords, device failure, or your failure to maintain backups.
• Indirect, incidental, special, consequential, or punitive damages of any kind.
• Any actions taken or not taken based on nudgg insights or suggestions.
• Interruptions or errors in the Service, including during beta.

Where liability cannot be excluded by law, our total aggregate liability to you shall not exceed the amount paid by you to us in the 3 months preceding the claim, or ₹500 (five hundred rupees), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless DeltaIQx LLP, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) your trading decisions or outcomes.

13. Termination

13.1 By you. You may terminate your account at any time from Settings → Delete Account. Upon deletion, all your data is permanently and irreversibly destroyed within 30 days.

13.2 By us. We may suspend or terminate your account immediately, without notice, if you breach these Terms, violate applicable law, or if we discontinue the Service. We will provide reasonable notice before discontinuing the Service entirely where practicable.

13.3 Effect of termination. On termination, your right to use the Service immediately ceases. Sections 5, 8, 10, 11, 12, and 15 survive termination.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to registered users at least 15 days before taking effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Service and delete your account before the effective date.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

We encourage you to contact us at legal@nudgg.in before initiating any formal proceedings. We will make reasonable efforts to resolve disputes amicably.

16. Miscellaneous
